This Connected Account Agreement (the "Agreement") is between you, the trainer or fitness business connecting a Stripe account through FitFlow ("you" or "Trainer"), and FitFlow Digital LLC ("FitFlow," "we," "us," or "our"). It supplements the FitFlow Terms of Service and applies the moment you connect a Stripe account through the FitFlow platform. If this Agreement and the Terms of Service conflict about client payments, this Agreement controls.
1. What you are agreeing to
By clicking "Agree and continue," you confirm that you have read this Agreement, that you have the authority to accept it on behalf of your business, and that you agree to be bound by it. Please read it before connecting Stripe. The commercial terms in Sections 3, 4 and 5 are fixed by Stripe when your account is created and cannot be changed afterwards, by you or by FitFlow.
2. Definitions
- "Stripe" means Stripe, Inc. and its affiliates, the payment processor FitFlow uses to move money between your clients and you.
- "Connected Account" means the Stripe account FitFlow creates for you, or that you link, so that your clients can pay you through FitFlow.
- "Client Payment" means any payment a client makes to you through FitFlow, including subscriptions, one-time charges, session packs and marketplace purchases.
- "Stripe Processing Fees" means the fees Stripe charges for processing a Client Payment, as published by Stripe.
- "Platform Fee" means the application fee FitFlow collects on a Client Payment under your FitFlow plan, shown in your Billing settings before you sell anything.
- "Dispute" means a chargeback, inquiry, retrieval request, reversal or similar claim that a client or the client's bank raises about a Client Payment.
3. You are the merchant of record
3.1 Your Connected Account is your account. You, not FitFlow, are the merchant of record and the seller for every Client Payment. The contract for coaching, programs and services is between you and your client; FitFlow is not a party to it.
3.2 Your Connected Account is also governed by the Stripe Connected Account Agreement and the Stripe Services Agreement (available at stripe.com/legal). By accepting this Agreement you also accept those Stripe terms. Where they require you to provide information, verify your identity or your business, or accept additional terms, you will do so directly with Stripe.
3.3 Stripe decides, on its own terms, whether to approve your Connected Account, whether to enable charges and payouts, and whether to hold, reserve or delay funds. FitFlow cannot override those decisions.
4. Fees
4.1 Stripe Processing Fees are deducted by Stripe from each Client Payment before the funds reach your balance. You pay them; FitFlow does not reimburse them.
4.2 FitFlow collects the Platform Fee from each Client Payment at the rate shown in your Billing settings at the time of the sale. The Platform Fee is separate from your FitFlow subscription and from Stripe Processing Fees.
4.3 Example. If a client pays you $100.00 and your Platform Fee is 10%, FitFlow receives $10.00, Stripe deducts its processing fee (for example, $3.20) from the remainder, and about $86.80 reaches your balance. The actual Stripe fee depends on Stripe's published pricing, the card used and the client's country.
4.4 Taxes. You are responsible for determining, collecting and remitting any sales tax, VAT or other taxes that apply to your services. FitFlow offers Stripe Tax as a tool; using it does not transfer that responsibility to FitFlow.
5. Disputes, chargebacks and refunds
5.1 You are responsible for every Dispute about a Client Payment. When a client disputes a payment, Stripe debits the disputed amount and Stripe's dispute fee from your balance, and the debit stands unless you win the Dispute.
5.2 You respond to Disputes in your Stripe dashboard, where Stripe asks for the evidence. FitFlow does not respond to Disputes on your behalf, does not hold the evidence of your coaching relationship, and does not reimburse you for lost Disputes or dispute fees.
5.3 You decide your own refund policy toward your clients and you issue refunds from FitFlow or from your Stripe dashboard. When you refund a Client Payment, FitFlow refunds the Platform Fee on that payment; Stripe Processing Fees are refunded, or not, according to Stripe's rules.
5.4 Negative balances. If refunds, Disputes or fees leave your balance negative, Stripe may recover the shortfall from future Client Payments or from the bank account linked to your Connected Account. You agree to keep that account funded enough to cover such recoveries.
5.5 The 14-day money-back guarantee in Section 5.3 of the FitFlow Terms of Service applies to your FitFlow subscription only. It does not apply to Client Payments, and FitFlow does not promise your clients any refund.
6. Payouts
6.1 Stripe pays the funds in your balance to the bank account you link, on the payout schedule you set in Stripe or that Stripe assigns. FitFlow does not hold your funds and does not control payout timing.
6.2 Stripe may hold, reserve or delay payouts under its own terms, for example while it verifies your identity or reviews unusual activity. FitFlow will show you the status we receive from Stripe but cannot release held funds.
7. Your responsibilities
You agree to:
- Provide accurate, current and complete information to Stripe and to FitFlow, and keep it updated.
- Use your Connected Account only for coaching, training and related services you actually provide, and only for lawful purposes.
- Give your clients clear terms before they pay: what they are buying, the price, the billing frequency, any trial, and your refund and cancellation policy.
- Deliver the services your clients pay for, and resolve complaints with them directly and promptly.
- Never ask for, store or handle your clients' card numbers outside Stripe-hosted checkout. FitFlow does not store card data, and neither should you.
- Comply with the card-network rules and all laws that apply to your business, including consumer-protection, data-protection and tax laws.
8. FitFlow's role and its limits
8.1 FitFlow provides the software that lets your clients pay you and lets you see your subscriptions, invoices, payouts and disputes. FitFlow is not a bank, a payment processor, a money transmitter or an escrow service.
8.2 FitFlow is not liable for Client Payments, Disputes, refunds, negative balances, Stripe Processing Fees, held or delayed payouts, or any decision Stripe makes about your Connected Account. To the fullest extent permitted by law, FitFlow's total liability to you in connection with this Agreement is limited as set out in the Limitation of Liability section of the Terms of Service.
8.3 You will indemnify and hold harmless FitFlow and its officers, employees and contractors from any claim, loss or expense (including reasonable legal fees) arising from your Client Payments, your services to clients, Disputes, or your breach of this Agreement or of Stripe's terms.
8.4 FitFlow may suspend client billing on your account, or disconnect your Connected Account, if we reasonably believe you have breached this Agreement, the Terms of Service or Stripe's terms, if Stripe requires it, or if we must do so to comply with law. We will tell you why unless the law prevents it.
9. Term and ending this Agreement
9.1 This Agreement starts when you accept it and continues while your Connected Account is linked to FitFlow.
9.2 You may disconnect your Connected Account at any time from your Billing settings or by contacting support. Disconnecting stops new Client Payments through FitFlow. It does not cancel your obligations for payments already made, Disputes already open or that open later, refunds owed, or negative balances, all of which survive.
9.3 The fee and liability settings described in Sections 4 and 5 are fixed by Stripe when your Connected Account is created and cannot be changed later. If you do not accept them, do not connect Stripe.
10. Changes to this Agreement
We may publish a new version of this Agreement. Each version carries its own version number and effective date. If a new version materially changes your obligations, we will tell you in FitFlow or by email at least 30 days before it applies to you, and we may ask you to accept it before you continue to use client billing. Trainers who connect Stripe after a version's effective date accept that version.
11. Record of acceptance
When you accept this Agreement, FitFlow records the version you accepted, the date and time, the surface you accepted it from, and your IP address and browser identifier. We keep that record while you have a FitFlow account and for as long afterwards as the law requires, and we will give you a copy on request.
12. General
12.1 This Agreement is part of, and is governed by, the FitFlow Terms of Service, including Section 8.2 (Limitation of Liability), Section 10.1 (Governing Law: State of Delaware, United States) and Section 10.2 (Dispute Resolution).
12.2 If any part of this Agreement is found unenforceable, the rest remains in effect.
